The first edition of International Franchise Sales Laws was published in 2006. But
the seeds for that book were sown when Michael Lindsey and Andrew Loewinger co-
authored a paper for the ABA Forum on Franchising’s 25th Annual Meeting in Scottsdale,
Arizona, in 2002. The workshop was entitled “International (Non-U.S.) Franchise Dis-
closure Requirements” and the paper was 155 pages long. It was not difficult to see that
the substance of that paper could indeed make a great book and provide an invaluable
resource to the Forum and its members. Thus, with hard work, diligent research, excel-
lent writing, encouragement from Forum chairs and others, and healthy collaboration
among lawyers across the globe, the first edition, edited by Michael and Andrew, be-
came a reality—and a staple on the desks of many franchise lawyers who practice inter-
national franchise law.
This second edition is once again a true international labor of devotion, with An-
drew and Michael still at the editing helm and authors and contributors from around the
world supporting the effort. Our thanks go to the chapter authors for each of the coun-
tries listed: Stephen Giles and Penny Ward (Australia); Pascal Hollander and Joe Sepul-
chre (Belgium); Luiz Henrique O. Do Amiral and Eduardo Turkienicz (Brazil); Dominic
Mochrie, Peter Snell, and Larry Weinberg (Canada); Yu Qin and Richard L. Wageman
(China); Rémi Delforge and Gilles Menguy (France); Marco Hero and Karsten Metzlaff
(Germany); Lia Alizia, Rick Beckman, Emir Pohan, and Reagan Roy (Indonesia); Aldo
Frignani and Francesca Turitto (Italy); Souichirou Kozuka and Takashi Kanai (Japan);
Jorge Menezes and Rodrigo Mendia de Castro (Macau); Mohd Bustaman and Wong Sai
Fong (Malaysia); Jorge Mondragón and Gustavo Alcocer (Mexico); Bryan W. Jardine
and Roxana Negutu (Romania); Eugene Honey and Lawrence Helman (South Africa);
Brendon Carr and Jae Hoon Kim (South Korea); Alberto Echarri and Gonzalo Ulloa
(Spain); Anders Fernlund and Anders Thylin (Sweden); Wellington Liu and David Lu
(Taiwan); John R.F. Baer and Susan Grueneberg (United States); and Mai Minh Hang
and Nguyen Anh Tuan (Vietnam). Our appreciation also goes to Michael and Andrew
for the time and effort spent in editing and updating this excellent resource. Many
others deserve recognition for bringing this book to print, including the immediate past
publications officer Karen Satterlee, the current publications officer Jim Goniea and the
liaison from the publications committee Dean Fournaris. With this book, we are once
again reminded that, while the United States may have been the first country to adopt a
franchise law (in California in 1970), as franchising has continued to develop across the
world, so too has franchise regulation. We are grateful that we can rely on our fellow
practitioners to help us navigate the on-going journey.
