(Beneficiario ), representado por el Ministerio de
Relaciones Exteriores
ARTICULO 1: Proposito
El prop6sito de este Convenio de Asistencia al
Pais ("Convenio") es establecer el acuerdo entre
las partes arriba mencionadas ("Partes") con
respecto a los Objetivos que se describen abajo.
Este Convenio sirve como mecanismo de
financiaci6n para asegurar la continua ejecuci6n
de los Objetivos de Asistencia de USAID en la
Republica de Colombia. Este Convenio se
suscribe, en desarrollo y conformidad con los
terminos y condiciones del Convenio General
para Asistencia Econ6mica, T ecnica y Afines
entre los Estados Unidos de America y
Colombia, de fecha

ARTICLE 1: Purpose
The purpose
of
this Country Assistance
Agreement (the "Agreement") is to set out
the understanding
of
the parties named above
(the "Parties") in connection with the
Objectives described below. This Agreement
serves as a funding mechanism to ensure
continued implementation
of
the Assistance
Objectives
of
USAID in the Republic
of
Colombia. This Agreement is signed, in
observance
of
and in compliance with the
terms and conditions
of
the General
Agreement for Economic, Technical and
Related Assistance between the United States
of
America and Colombia, dated July 23,
1962.

contribution to the Assistance Objectives will

availability

funds

the
Grantee for this purpose and
of
USAID
providing the total estimated amount
in
Section
3.1
(b). The Grantee will report at
least annually in a format to be agreed upon
with USAID on its cash and "in-kind"
contributions.
ARTICLE
4:
Completion Date
(a) The Completion Date, which
is
September 30, 2012, or such other date
as
the
Parties may agree
to
in writing, is the date by
which the Parties estimate that
all
the
activities necessary
to
achieve the Assistance
Objectives will be completed.
(b) Except
as
US
AID may otherwise agree
to
in writing, USAID will not issue or
approve documentation that would authorize
disbursement
of
the Grant for services
performed or goods furnished after the
Completion Date.
(c) Requests for disbursement,
accompanied by necessary supporting
documentation prescribed in Implementation
Letters, are
to
be
received
by
USAID
no
later
than nine (9) months following the
Completion Date, or such other period
as
USAID agrees to in writing before or after
such period. After such period USAID, at any
time or times, may give notice in writing
to
the Grantee and reduce the amount
of
the
Grant by all or any part thereof for which
requests for disbursement, accompanied by
necessary supporting documentation
prescribed in Implementation Letters, were
not received before the expiration
of
such
period.

pertenece o actua a nombre
de
la oficina del
Beneficiario especificada en la Secci6n 7 .2, y que
designa
el
nombre y cargo de cualquier
representante adicional que podria actuar de
acuerdo
ala
Secci6n 7.2.
Secci6n 5.2 Notificaci6n
Grant, or to the issuance by USAID
of
documentation pursuant to which
disbursement will be made, the Grantee will,
except
as
the Parties may otherwise agree in
writing, furnish to USAID in form and
substance satisfactory to USAID:
(a) A legal opinion acceptable to USAID that
(i) this Agreement has been duly authorized
by, and executed on behalf
of
the Grantee,
(ii) this Agreement constitutes a valid and
legally binding obligation
of
the Grantee in
accordance with all
of
its terms, and (iii) all
internal actions and approvals necessary to
give effect to this Agreement have been
obtained by or on behalf
of
the Grantee; and
(b) A signed statement in the name
of
the
person holding or acting in the office
of
the
Grantee specified in Section 7 .2, which
designates by name and title any additional
representatives each
of
whom may act
pursuant to Section 7.2.

Section 6.2 Coordination and Alignment
(a) USAID and the Presidential Agency for
Social Action and International Cooperation
will coordinate with one another in the
implementation
of
this Agreement and will
establish or continue using the existing
mechanisms created for consultation,
monitoring and evaluation, such
as
the
thematic Consultative Committees and the
Coordination Committee, and use the
monitoring indicators and data systems now
in place for this purpose.
(b)
In
the interest
of
strengthening local
capacity and institutions in alignment and
accordance with the principles
of
the Paris
Declaration on Aid Effectiveness, USAID, at
its own discretion, may enter into contract
and grant agreements with host country
experts and firms to provide technical
assistance and may program funds through
the Grantee or other Colombian institutions
and systems, with details that may be further
developed in Implementation Letters.

US
AID will seek input from the
Presidential Agency for Social Action and
International Cooperation and the
Counterpart Agency requesting the expertise,
in the selection
of
third parties to implement
activities under this Agreement.
Section 6.3 Taxation
As set forth in greater detail in the Standard
Provisions Annex attached hereto, the
Grantee agrees to ensure that assistance
provided under this Agreement will be
exempted from taxation
as
set forth under the
terms and conditions agreed upon in the
General Agreement for Economic, Technical
and Related Assistance between the United
States
of
America and Colombia, dated July

Antecedentes
La Estrategia de USAID/Colombia utiliza un
enfoque sistematico y dirigido que enfatiza
el
trabajo en comunidades vulnerables asi como en
aquellas con presencia de cultivos ilicitos para
definir
el
enfoque geografico del Programa de
Desarrollo Alternative. Los pilares de esta fase
son cohesion programatica, concentracion
geografica, participacion del sector privado, y
aumento
de
pertenencia Colombiana y de la
sostenibilidad.
Dado
el
enfoque primordial del Gobierno de los
Estados Unidos en la lucha anti-narcoticos, sera
de
vital importancia implementar actividades de los
Objetivos de Asistencia en coordinacion con otros
programas de USAID, buscando integrar muy
estrechamente actividades en regiones especificas,
corredores de crecimiento y municipios.
USAID/Colombia ha trabajado exhaustivamente
con
el
Gobierno Colombiano, sus socios,
consultores externos y todos los otros grupos de
interes relevantes para seleccionar las regiones y
municipios en los cuales enfocar este programa
durante
el
periodo de 2006 a 2009. Tal seleccion
persigue concentrar las actividades de
USAID/Colombia en areas del pais que:
1)
actualmente tienen cultivos de coca y/o amapola, o
que son vulnerables a la produccion de cultivos
ilicitos; 2) tienen un significative potencial
economico;
3)
tienen suficiente voluntad politica
local y nacional; y 4) presentan altos indices
de
violencia. La Mision

que sus programas en desarrollo alternative,
democracia y asistencia humanitaria pueden ser y
seran sostenibles
si
sus actividades estan mucho
mas enfocadas a las areas del pais con estas

El Programa de Desarrollo Alternative trabaja con

Gobierno de Colombia y

sector privado para

economicas de manera que: (1) provea alternativas

coordination with other USAID programs, seeking
to integrate activities closely into focus regions,
growth corridors, and municipalities.

USAID/Colombia has worked exhaustively with i
the Colombian Government, its partners, outside ·
consultants and all other relevant stakeholders
to

select the regions and municipalities in which to ·
focus the program during the 2006-2009 period.
Such selection seeks to focus the bulk
of

USAID/Colombia activities in areas
of
the
country that: (1) currently are under coca/poppy

cultivation or that are vulnerable to illicit crop •
production; (2) have significant economic ·
potential; (3) have sufficient local and national
political will; and (4) have a high incidence
of
violence. USAID/Colombia believes that its i
programs in alternative development, democracy :
and humanitarian assistance can and will be :

activities are more heavily focused 1
in areas
of
the country with these characteristics. ·
1.2 Results
The Alternative Development Program works
with both the Colombian Government and the
private sector to achieve a sustainable expansion
of
economic opportunities
in
a manner that:
(
1)
provides viable alternatives to illicit crop ·
production; (2) works with municipal
governments to help make local institutions more
responsive and effective in responding to the
needs
of
citizens; (3) seeks to make Colombian ,
enterprises more competitive; (
4)
facilitates
sustainable, broad-based income and employment
growth in strategically targeted areas
of
the

bosques, y programas de desarrollo de pequefias y
medianas empresas, todos los cuales generan
empleo para familias rurales y urbanas susceptibles
a vincularse a la produccion de cultivos ilicitos y
sus actividades relacionadas.

illicit crop cultivation. Alternative development
programs include a complementary set

which will generate employment for both rural 1
and urban families susceptible to involvement in
illicit crop production and related activities.
Equally important, and in order to ensure a
national enabling environment that promotes
sustainable alternative development, USAID will '
provide technical support for policy and
institutional reforms that will allow the
Colombian government to improve its overall
fiscal balance, as well as its efficiency and cost-
effectiveness in the provision
of
vital public
goods and services, including critical
infrastructure services. Within this overall policy 1
context, USAID also will provide technical and
financial support to facilitate the adoption and
effective implementation
of
reforms to promote
trade/investment integration, financial market
development, and improvement
of
legal land
selling and buying. Equally important, this
program will work to enhance democratic
governance at the local level through citizen
participation (in targeted high priority zones) to
extend the presence
of
accountable, legitimate
and participatory state institutions.

este Convenio es apoyar

asistencia a mediano y largo plazo

posible, USAID coordinaria sus
esfuerzos con la estrategia "Juntos" y con el
denominado Modelo y Ruta

Atencion para

2.2. Results
Violent acts by illegal armed groups result in
internal displacement in Colombia. The
production
of
illicit crops generates territorial
disputes involving illegal armed forces, which
affect the stability and rights
of
Colombians.
This situation poses challenges to the
GOC
in
its efforts
to
eradicate illicit drugs and resolve
the country's long-standing internal violence.
The magnitude
of
the IDP situation creates
hardships not only for displaced persons, but
also for receptor communities, which
frequently lack the resources necessary
to
receive and meet the needs
of
new arrivals.
An
objective
of
this Agreement is
to
support
the provision
of
intermediate and longer-term
assistance to IDPs and other vulnerable
groups.
If
possible, USAID may coordinate its
efforts with the "Juntos" strategy and the so-
called GOC's Model and Route
of
Attention
for
the Effective Access
to
Rights
by
the
Internally Displaced Populations. This
coordination may include prevention, urgent
humanitarian assistance, access
to
health and
education services, school feeding programs,
psycho-social attention, income generation
programs, protection, housing and social
infrastructure and institutional strengthening.
Expanding access to such services will
contribute
to
the socio-economic stabilization
of
this population.
USAID also will strengthen national and local
institutional capacity to provide an integrated
package
of
services to IDPs and other
vulnerable groups. When providing these
services, a differential approach will

used
to
attend
to
the particular needs
of
women,
children, Afro-colombians, indigenous

apoyo familiar, y los servicios
bancarios. Asi mismo y en coordinaci6n con

Programa

Democracia y Gobernabilidad

USAID, este Programa buscara facilitar

acceso a los servicios

justicia por parte
de
los PIDs y otros grupos vulnerables.
USAID continuara apoyando programas para
incrementar

acceso a oportunidades
econ6micas por parte
de
la poblaci6n desplazada
en las comunidades dentro

las cuales elias se
han establecido, ofreciendo capacitaci6n
pertinente para

desarrollo
de
destrezas y
programas para la ubicaci6n !aboral. Para este

programa intenta desarrollar alianzas

Se brindara apoyo para facilitar

retorno o
reubicaci6n voluntario, seguro, digno y
ordenado de los desplazados en coordinaci6n
con las entidades pertinentes del GDC. Las
actividades buscaran sinergias programaticas e
institucionales para fortalecer la capacidad del
GDC, particularmente en areas en donde un
numero significative
de
PID haya manifestado
su deseo
de
retorno.

the socio-economic stabilization phase
USAID will help IDPs and other vulnerable
groups gain better access
to
their rights
of
identification, income generation, education,
health, nutrition, housing, family support, and
banking services. Further, and in coordination
with the Democracy and Governance Program
of
USAID, this Program will seek
to
facilitate
access to justice services by IDPs and other
vulnerable groups.
USAID will continue to support programs that
increase access
to
economic opportunities
for
IDPs in the communities into which they have
settled
by
offering relevant skills training and
job placement programs.
To
achieve this goal,
the program will attempt to develop strong
alliances with the private sector
to
create job
opportunities.
Support will
be
given
to
facilitate the
voluntary, safe, dignified, and orderly return
or re-settlement
of
IDPs in coordination with
appropriate GOC entities. Activities will seek
programmatic and institutional synergies
to
strengthen the GOC's capacity, particularly in
areas where significant numbers
of
IDPs have
expressed a desire
to
return.
Private and Public Sector Institutions

USAID cree que sus programas en desarrollo
altemativo, democracia y asistencia humanitaria
seran sostenibles si sus actividades estan
fuertemente concentradas en las areas del pais
con estas caracteristicas.
Adicionalmente, y basado en un analisis
conjunto con el GDC, USAID considerara re-
dirigir parte de su apoyo a regiones y
poblaciones que presenten altos indices de
presion y/o intensidad de desplazamiento con
base en el RUPD y/o en areas donde

recuperaci6n se ha iniciado.
Sin embargo, USAID reconoce que
Ia
situaci6n
de
las PIDs en Colombia es muy incierta y que
tendencias previas no son una indicaci6n de
futuros desplazamientos. Por ende, USAID esta
comprometido a trabajar de cerca con el
gobiemo colombiano para desarrollar un
programa balanceado que (1) atienda
principalmente las necesidades de las PID
inscritas en el RUPD y coordine

2.6 Target Areas
USAID has worked exhaustively with the
Government
of
Colombia, its partners, outside
consultants and all other relevant stakeholders
to select the regions and municipalities
in
which to focus its program. Such selection
seeks to focus the majority
of
USAID/Colombia activities in areas
of
the
country that: (1) currently have coca/poppy
cultivation or that are vulnerable to illicit crop
production; (2) have significant economic
potential; (3) have sufficient local and national
political will; (4) have a high incidence
of
violence; and (5) are identified as priority
zones to advance the Consolidation strategy.
USAID believes that its programs in
alternative development, democracy and
humanitarian assistance will be sustainable
if
activities are more heavily focused in areas
of
the country with these characteristics.
Additionally, and based on joint analysis with
the GOC, USAID will consider re-directing
part
of
its support to regions and towns that
show high pressure indices and/or
displacement intensity based on the NRDP
and/or in areas where recovery process has
begun.
However, USAID recognizes that the IDP
situation in Colombia is very fluid and that
previous trends do not necessarily indicate
future displacements. Hence, USAID is
committed to working closely with the GOC
to develop a balanced program that (1) attends
mainly to the needs
of
the IDPs registered in
the NRDP and coordinates closely the
activities across the USAID portfolio with the
activities being implemented by the GOC and

ROLES Y RESPONSABILIDADES DE
LAS PARTES
Las actividades del programa seran ejecutadas

diferentes roles y responsabilidades

internacionales, organizaciones internacionales
publicas; y organizaciones locales y

coordinada con las autoridades gubernamentales

Ministerio

Social, la Defensoria del Pueblo, la Oficina del

Presidencial para la Acci6n Social y la
Cooperaci6n Internacional. USAID continuara
coordinando estrechamente los programas y
actividades con las entidades correspondientes

GDC

organizations. Program planning and
implementation will be coordinated with local
and departmental governmental authorities
and numerous Colombian national entities and
ministries such as the National Planning
Department, the Ministry
of
Interior and
Justice, the Ministry
of
Environment, Housing
and Regional Development, the Ministry
of
Health and Social Protection, the National
Ombudsman's Office, the Office
of
the High
Commissioner for Peace, the National Family
Welfare Institute and the Presidential Agency
for Social Action and International
Cooperation. USAID will continue
to
coordinate closely programs and activities
with relevant GOC entities and will take all
appropriate measures, including relevant
clauses in implementing instruments,
to
ensure
optimal coordination among the GOC,
USAID, and USAID's partners.
The participation
of
such entities will occur
in
accordance with the limitations U.S. law
imposes on assistance to law enforcement and
military forces, including any approved
exceptions.

Definitions and Implementation
Letters
SECTION A.l Definitions: As used in this
Annex, the "Agreement" refers to the Country
Assistance Agreement to which this Annex is
attached and

which this Annex forms a part.
Terms used in this Annex have the same
meaning or reference as in the Agreement.
SECTION A.2. Implementation Letters.
To
assist the Grantee in the implementation
of
the
Agreement, USAID, from time to time, will
issue Implementation Letters that will furnish
additional information about matters stated in
this Agreement. The Parties may also use
jointly agreed-upon Implementation Letters to
confirm and record their mutual understanding
on aspects
of
the implementation
of
this
Agreement. Implementation Letters can also
be
issued to record revisions or exceptions
which are permitted by the Agreement.
ARTICLE
B.
General Covenants
SECTION B.l. Consultation. The Parties
will cooperate to assure that the Objective and
Results
of
this Agreement will
be
accomplished.
To
this end, the Parties, at the
request
of
either, will exchange views on
progress towards the Objective and Results,
the performance
of
obligations under this
Agreement, the performance
of
any
consultants, contractors or suppliers engaged
under the Agreement, and other matters
relating to the Agreement.
SECTION B.2. Execution
of
Agreement.
The Grantee will:
(a) Carry out the Agreement or cause it to be
carried out with due diligence and efficiency,
in conformity with sound technical, financial,
and management practices, and in conformity
with those documents, plans, specifications,
contracts, schedules or other arrangements,
especificaciones, contratos, programas u otros
arreglos, y con cualesquier modificaciones de
los mismos, aprobados por USAID de
acuerdo con el Convenio; y
(b) Proporcionani personal de administraci6n
calificado y con experiencia, y capacitani a
aquel personal seg(m se requiera para el
mantenimiento y marcha de las actividades
financiadas bajo este Convenio,
y,
seg(m sea
aplicable para
Ia
continuaci6n de las
actividades, hara que aquellas actividades
sean implementadas y mantenidas en forma
tal que se asegure el continuo y exitoso logro
del Objetivo y Resultados del Convenio.
SECCION B.3. Utilizaci6n de Bienes y
Servicios.
(a) Cualesquier bienes y servicios financiados
bajo este Convenio, a menos que USAID
acuerde lo contrario por escrito, seran
dedicados al Convenio hasta que este sea
completado o terminado, y de ahi
en
adelante
( asi como en cualquier periodo de suspension
del Convenio) se utilizara de modo que se
pueda ampliar el Objetivo del Convenio y
como USAID pueda indicar
en
Cartas de
Implementaci6n.
(b) Los bienes o servicios financiados bajo
este Convenio, a menos que USAID pudiera
acordar lo contrario por escrito, no seran
utilizados para promover o asistir a un
proyecto o actividad de ayuda extranjera
asociado con, o financiado por un pais que no
este incluido en el C6digo Geografico 935
vigente en
Ia
fecha de tal utilizaci6n.
SECCION B.4. Impuestos.
Secci6n B.4.1. Exoneraci6n General.
Este Convenio y
Ia
asistencia bajo el mismo
estan exonerados de impuestos bajo las leyes
vigentes en el territorio del Donatario. En el
evento de una contradicci6n entre esta
secci6n B.4 y el Acuerdo General de 1962,
Ia
disposici6n relevante de este ultimo
prevalecera.
Secci6n B.4.2. A menos que se
estipule lo contrario
en
esta disposici6n, la
Exoneraci6n General
en
la
Secci6n B.4.1. es
aplicable, pero no se limita a (1) cualquier
actividad, contrato, donaci6n u otro
acuerdo de ejecuci6n financiado por USAID

(b) Provide qualified and experienced
management for, and train such staff as may
be appropriate for the maintenance and
operation

the activities financed under the
Agreement, and, as applicable for continuing

the continuing and successful achievement
of
the Objective and Results
of
the Agreement.
SECTION B.3. Utilization
of
Goods and
Services.
(a) Any goods and services financed under this
Agreement, unless otherwise agreed to in
writing by USAID, will be devoted to the
Agreement until the completion
or
termination
of
the Agreement, and thereafter (as well as
during any period
of
suspension
of
the
Agreement) will be used so to further the
Objective
of
the Agreement and as USAID
may direct in Implementation Letters.
(b) Goods
or
services financed under this
Agreement, except as USAID may otherwise
agree in writing, will not be used to promote
or assist a foreign aid project or activity
associated with
or
financed by a country not
included in USAID Geographic Code 935 as
in effect at the time
of
such use.
SECTION B.4. Taxation.
Section B.4.1. General Exemption.
This Agreement and the assistance
thereunder are free from any taxes imposed
under laws in effect in the territory
of
the
Grantee. In the event
of
a contradiction
between this Section B.4 and the 1962
General Agreement, the relevant provision
of
the latter shall prevail.
Section B.4.2. Except as provided
otherwise in this provision, the General
Exemption in Section B.4.1 applies to, but is
not limited to (1) any activity, contract, grant
or other implementing agreement financed by
USAID under this Agreement; (2) any

Section B.4.3. Except
as
provided
otherwise in this provision, the General
Exemption in Section

not limited to, the following taxes:
(a) Exemption
1.
Customs
duties, tariffs, import taxes, or other levies on
the importation, use and re-exportation
of
goods or the personal belongings and effects
(including personally-owned automobiles)
for the personal use
of
non-national
individuals or their family members.
Exemption 1 includes, but is not limited to,
all charges based on the value
of
such
imported goods, but does not include service
charges directly related
to
services performed
to
transfer goods or cargo.
(b) Exemption
2.
Taxes on the
income, profits or property
of
all (i) non-
national organizations
of
any type, (ii) non-
national employees
of
national and non-
national organizations, or (iii) non-national
individual contractors and grantees and
members
of
their families. Exemption 2
includes income and social security taxes
of
all types and all taxes on the property,
personal or real, owned
by
such non-national
organizations or persons. The term
"national" refers to organizations established
under the laws
of
the Grantee and citizens
of
the Grantee, other than permanent resident
aliens in the United States.
(c) Exemption
3.
Taxes levied on the
last transaction for the purchase
of
goods or
adquisicion de bienes o servicios financiados

Section B.4.4.
If
a tax has been
levied and paid contrary to the provisions
of
an exemption, USAID may, in its discretion,
(1) require the Grantee to refund to USAID
or to others as USAID may direct the amount
of
such tax with funds other than those
provided under this Agreement, or (2) offset
the amount
of
such tax from amounts to be
disbursed under this or any other agreement
between the Parties.
Section B.4.S. In the event
of
a
disagreement about the application
of
an
exemption, the Parties agree to promptly
meet and resolve such matters, guided by the
principle that the assistance furnished by
USAID is free from direct taxation, so that
all
of
the assistance furnished by US AID will
contribute directly to the economic
development
of
the country
ofthe
Grantee.
SECTION B.S. Reports and Information,
Agreement Books and Records, Audits and
Inspections.
(a) Reports and Information. The Grantee
shall furnish USAID accounting records and
other such information and reports relating to
the Agreement as USAID may reasonably
request.
(b) Grantee Agreement Books and Records.
The Grantee shall maintain accounting books,
records, documents, and other evidence
relating to the Agreement, adequate to show,
without limitation all costs incurred by the
Grantee under the Agreement, the receipt and
use
of
goods and services acquired under the
Agreement by the Grantee, agreed-upon cost
sharing requirements, the nature and extent
of
solicitations
of
prospective suppliers
of
goods

International Accounting Standards
Committee (an affiliate
of
the International
Federation
of
Accountants), or (2) prevailing
in the country
of
the Grantee. Agreement
books and records shall be maintained
for
at
least three years after the date
of
last
disbursement by USAID or for such longer
period,
if
any, required
to
resolve
any
litigation, claims or audit findings.
(c)
Grantee Audit.
If
$300,000 or more
of
USAID funds are expended directly by the
Grantee in its fiscal year under the Agreement,
the Grantee, except
as
the Parties may
otherwise agree in writing, shall have financial
audits made
of
the expenditures
in
accordance
with the following terms:
(1) With USAID approval, the Grantee shall
use its Supreme Audit Institution: the
Contraloria General de la Republica, or select
an independent auditor in accordance with the
"Guidelines for Financial Audits Contracted
by
Foreign Recipients" issued by the USAID
Inspector General ("Guidelines"), and the
audits shall be performed in accordance with
the "Guidelines"; and
(2) The audit shall determine whether the
receipt and expenditure
of
the funds provided
under the Agreement are presented in
accordance with generally accepted
accounting principles agreed to
in
section (b)
above and whether the Grantee has complied
with the terms
of
the Agreement. Each audit
shall be completed
no
later than nine months
after the close
of
the Grantee's year under
audit.
(d) Auditorias a Sub-recipientes.

defmed below, which receive funds under
this Agreement pursuant to a direct contract or
agreement with the Grantee.
(1) A "covered" sub-recipient
is
one who
expends $300,000 or more in its fiscal year in
"USAID awards" as described in the Note
OMB A-110 (i.e., as recipients ofUSAID cost
reimbursable contracts, grants or cooperative
agreements and as sub-recipients under a
USAID Assistance Objective and other grant
agreements with foreign governments).
(2) The plan shall describe the methodology to
be
used by the Grantee to satisfy its audit
responsibilities for covered sub-recipients.
The Grantee may satisfy such audit
responsibilities by relying on independent
audits
of
the sub-recipients; expanding the
scope
of
the independent fmancial audit
of
the
Grantee
to
encompass testing
of
sub-
recipients' accounts; or a combination
of
these
procedures.
(3) The plan shall identify the funds made
available to covered sub-recipients that will
be
covered by audits conducted in accordance
with other audit provisions that would satisfy
the Grantee's audit responsibilities (a non-
profit organization organized in the United
States is required to arrange for its own audits;
a for-profit contractor organized in the United
States that has a direct contract with USAID is
audited by the cognizant U.S. Government
Agency; a private voluntary organization
organized outside the United States with a
direct grant from USAID is required to
arrange for its own audits; and a host-country
contractor should be audited by the cognizant
Grantee contracting agency).

contracts or agreements with USAID, USAID
will include appropriate audit requirements
in
such contracts or agreements and will, on
behalf
of
the Grantee, conduct the follow-up
activities with regard to the audit reports
furnished pursuant to such requirements.
(g) Cost
of
Audits. Subject to USAID
approval in writing, costs
of
audits performed
in accordance with the terms
of
this Section
may
be
charged to the Agreement.
(h) Audit by USAID. USAID retains the right
to perform the audits required under this
Agreement on behalf
of
the Grantee by
utilizing funds under the Agreement or other
resources available to USAID for this purpose,
conduct a financial review, or otherwise
ensure accountability
of
organizations
expending USAID funds regardless
of
the
audit requirement.
(i) Opportunity to Audit or Inspect. The
Grantee shall afford authorized representatives
of
USAID the opportunity at all reasonable
times to audit or inspect activities financed
under the Agreement, the utilization
of
goods
and services financed by USAID, and books,
records and other documents relating
to
the

SECTION B.6. Completeness oflnformation.
The Grantee confirms:
(a) that the facts and circumstances
of
which it
has informed USAID,
or
cause USAID to be
informed, in the course
of
reaching agreement
with USAID
on
the Agreement, are accurate
and complete, and include all facts and
circumstances that might materially affect the
Agreement and the discharge
of
responsibilities under this Agreement; and
(b) that it will inform US AID in timely
fashion
of
any subsequent facts and
circumstances that might materially affect, or
that it is reasonable to believe might so affect,
the Agreement
or
the discharge
of
responsibilities under this Agreement.
SECTION B.7. Other Payments. The
Grantee affirms that no payments have been or
will be received by any official
of
the Grantee
in connection with the procurement
of
goods
· or services financed under the Agreement
except fees, taxes,
or
similar payments legally
established in the country
of
the Grantee.
SECTION B.8. Information and Marking.
The Grantee will give appropriate publicity to
the Agreement as a program to which the
United States has contributed, identifY
Agreement activity sites, and mark goods

ARTICLE C. Procurement Provisions.
SECTION
C.l.
Source and Origin.
(a) Foreign Exchange Costs. Disbursements
for Foreign Exchange Costs will be used
exclusively to finance the costs
of
goods and
services required for the Agreement having,
with respect to goods, their source and origin
and, with respect to the suppliers
of
goods and
services, their nationality, in the United States
(USAID Geographic Code 000) and the
cooperating country, except as USAID may
otherwise agree in writing and as follows:
(

Ocean transportation costs shall be
financed under the Agreement only on
vessels under flag registry
of
countries
included in Code 935. Also see Section C.6
on
use
ofU.S.
flag vessels.
(2) The country
of
the Grantee is an eligible
source for Foreign Exchange Cost for marine
insurance,
if
otherwise eligible under Section
C.7 (a).
(3) Any motor vehicles financed under the
Agreement will be
of
United States
manufacture, except as USAID may
otherwise agree in writing.
(b) Local Currency Costs. Disbursements for
local currency costs will be used exclusively
to finance the costs
of
goods and services
required for the Agreement which meet the
requirements
of
USAID's local procurement
policy which will be provided in an
Implementation Letter.
(c) · The source and origin
of
ocean and air
shipping will be deemed to be the ocean
vessel's
or
aircraft's country
of

SECCION C.3. Planes, Especificaciones y
Contratos. A fin
de
que exista mutuo acuerdo
en los siguientes aspectos, y a menos que las
Partes convinieran de otro modo por escrito:
(a)
El
Donatario suministrara a USAID en
cuanto esten preparados:
(
1)
cualesquier planes, especificaciones,
programas
de
adquisici6n o construcci6n,
contratos u otra documentaci6n entre
el
Donatario y terceras partes, relacionada a los
bienes y servicios a ser financiados bajo
el
Convenio, incluyendo la documentaci6n
referente a la precalificaci6n y elecci6n
de
los
contratistas y convocatoria a licitaci6n y
propuestas. Las modificaciones
de
importancia sobre tal documentaci6n seran
tambien suministradas a USAID, tan pronto
esten preparadas; y
(2) dicha documentaci6n, tambien sera
suministrada a USAID tan pronto este
preparada, relacionada con cualesquier bienes
o servicios que,
no
obstante
no
esten
financiados con fondos
del
Convenio, sean
considerados por USAID como
de
gran
importancia para
el
Convenio.
Los
aspectos
del
Convenio que involucren asuntos seglln
esta sub-secci6n (a)(2), seran identificados en
Cartas de Irnplementaci6n.
(b) Los documentos relacionados con la pre-
calificaci6n

SECTION C.2. Eligibility Date. No goods or
services may be financed under the Agreement
which are procured pursuant to orders or
contracts firmly placed or entered into prior
to
the date
of
this Agreement, except
as
the
Parties may otherwise agree
in
writing.
SECTION C.3. Plans, Specifications, and
Contracts.
In
order for there to
be
mutual
agreement on the following matters, and
except
as
the Parties may otherwise agree in
writing:
(a)
The Grantee will furnish to USAID upon
preparation:
(1) any plans, specifications, procurement or
construction schedules, contracts, or other
documentation between the Grantee and third
parties relating to goods and services
to
be
financed under the Agreement, including
documentation between the Grantee and third
parties, relating to the prequalification and
selection
of
contractors and to the solicitation
of
bids and proposals. Material modifications
in
such documentation will likewise
be
furnished to USAID on preparation; and
(2) such documentation will also be furnished
to USAID, upon preparation, relating
to
any
goods or services, which, though not financed
under the Agreement, are deemed
by
USAID
to
be
of
major importance to the Agreement.
Aspects
of
the Agreement involving matters
under this subsection ( a)(2) will
be
identified
in
Implementation Letters;
(b) Documents related to the prequalification
of
contractors, and to the solicitation
of
bids or
proposals for goods and services financed
under the Agreement will be approved
by
USAID in writing prior to their issuance, and
their terms will include United States

por el Donatario para el Convenio, pero no
financiados bajo el Convenio, deberan ser
aceptables a USAID.
SECCION C.4. Precios Razonables.
Nose
pagaran precios mas altos que los razonables
por cualesquier bienes y servicios financiados
total o parcialmente bajo el Convenio. Tales
items
se
adquiriran sobre una base justa
y,
en
cuanto sea posible, sobre una base
de
competencia.
SECCION C.5. Notificaci6n a Proveedores
Potenciales. A fin
de
que todas las fmnas
de
los Estados Unidos tengan la oportunidad
de
participar en el suministro de bienes y
servicios a ser financiados por
el
Convenio, el
Donatario proporcionara a USAID la
informacion necesaria con respecto a dichos
bienes y servicios en

memento que USAID

solicite mediante Cartas
de
Implementaci6n.
SECCION C.6. Transportes
(a) Ademas
de
los requerimientos de la
Secci6n C.l(a), los costos
de
transporte
maritime y aereo y los servicios de entrega
relacionados
no
pueden ser financiados bajo
la Donaci6n,
si
los costos son para el
transporte en un barco o nave aerea que
no
hubiera recibido previa aprobaci6n
de
US
AID.

(c) Contracts and contractors financed under
the Agreement for engineering and other
professional services, for construction
services, and for such other services,
equipment or materials as may be specified in
Implementation Letters, will be approved by
USAID in writing prior to execution
of
the
contract. Material modifications in such
contracts will also be approved in writing
by
USAID prior
to
execution; and
(d)
Consulting firms used
by
the Grantee for
the Agreement but not financed under the
Agreement, the scope
of
their services and
such
of
their personnel assigned
to
the
activities financed under the Agreement as
USAID may
specifY,
and construction
contractors used by the Grantee for the
Agreement but not financed under the
Agreement, shall be acceptable to USAID.
SECTION C.4. Reasonable Price. No more
than reasonable prices will be paid for any
goods or services financed, in whole or in part,
under the Agreement. Such items will
be
procured on a fair and, to the maximum extent
practicable, on a competitive basis.
SECTION C.5. Notification to Potential
Suppliers.
To
permit all United States firms
to have the opportunity to participate in
furnishing goods and services to be financed
under the Agreement, the Grantee will furnish
USAID such information with regard thereto,
and at such times, as USAID may request in
Implementation Letters.
SECTION C.6. Transportation.
(a)
In addition to the requirements in Section
C.l(a), costs
of
ocean or air transportation and
related delivery services may not be financed
under the Grant,
if
the costs are for
transportation under
an
ocean vessel or air
charter which has not received prior USAID
approval.

SECCION C.7. Seguros.
(a)
El
seguro maritimo sobre bienes
financiados por USAID que deben ser
transportados
al
territorio del Donatario puede
ser financiado como un costo en moneda
extranjera bajo este Convenio siempre que:
(1) tal seguro sea obtenido
al
precio
competitive mas ventajoso;
(2) tal seguro es colocado en un pais que esta
autorizado bajo la Secci6n C.l(a); y
(3) los reclamos correspondientes sean
pagaderos en D6lares
de
los Estados Unidos o
en una moneda
de
libre convertibilidad, a
menos que USAID acuerde
lo
contrario por
escrito. ·

por ordenanza, decreto, ley, regulaci6n o
practica discrimina con respecto a
adquisiciones financiadas por USAID, con

(b) Unless US AID determines that privately
owned United States-flag commercial ocean
vessels are not available at fair and reasonable
rates for such vessels or otherwise agrees in
writing:
(1) at least fifty percent (50%)
of
the gross
tonnage
of
all goods (computed separately for
dry bulk carriers, dry cargo liners and tankers)
financed by USAID which may
be
transported
on ocean vessels will be transported on
privately owned United States-flag
commercial vessels, and
(2) at least fifty percent (50%)
of
the gross
freight revenue generated by all shipments
financed by USAID and transported to the
territory
of
the Grantee on dry cargo liners
shall
be
paid
to
or for the benefit
of
privately
owned United States-flag commercial vessels.
Compliance with the requirements
of
(1) and
(2)
of
this sub-section must
be
achieved with
respect to both any cargo transported from
U.S. ports and any cargo transported from
non-U.S. ports, computed separately.
SECTION
C.
7.
Insurance.
(a) Marine insurance on goods financed by
USAID which are to be transported
to
the
territory
of
the Grantee may be financed
as
a
Foreign Exchange cost under this Agreement
provided:
(
1)
such insurance
is
placed at the most
advantageous competitive rate;
(2) Such insurance
is
placed in a country
which is authorized under Section C.1.(A);
and
(3) claims thereunder are payable in U.S.
Dollars or, in any freely convertible currency
unless USAID agrees otherwise in writing.
If
the Grantee (or government
of
the Grantee)
by statute, decree, rule, regulation, or practice
discriminates with respect
to
US
AID-financed
procurement against any marine insurance
company authorized to
do
business in any
State
of
the United States, then all goods

Estado de los Estados Unidos, entonces todos
los bienes embarcados al territorio del
Donatario financiados por USAID seran
asegurados contra riesgos maritimos y tal
seguro seni contratado en los Estados Unidos
con una compafiia o compafiias autorizadas a
efectuar operaciones de seguro maritimo en
los Estados Unidos.
(b) A menos que USAID acordara de otro
modo por escrito, el Donatario asegurara o
hara que se aseguren los bienes financiados
bajo el Convenio importados para el
Convenio contra riesgos fortuitos durante el
transporte hasta el lugar de su utilizaci6n bajo
el Convenio, tal seguro sera emitido en
Uirminos y condiciones de conformidad con
s6lidas practicas comerciales y cubrira el
valor total de los bienes. Cualquier
indemnizaci6n recibida por el Donatario bajo
tal seguro sera utilizada para reemplazar o
reparar cualquier dafio sufrido por el material
o cualquier perdida de los bienes asegurados,
o sera utilizada para reembolsar al Donatario
por la sustituci6n o reparaci6n de tales bienes.
Cualesquiera de tales sustituciones sera de
fuente y origen de paises que figuren en el
C6digo Geografico 935 de USAID en
vigencia en el momento de efectuarse tal
sustituci6n
y,
excepto que las Partes acuerden
por escrito, estaran sujetas a las estipulaciones
de este Convenio.
SECCION C.8. Bienes Excedentes de
Propiedad del Gobiemo Norteamericano. El
Donatario conviene en que cuando sea
factible, deberan utilizarse bienes excedentes
de propiedad del Gobiemo de los Estados
Unidos en lugar de nuevos items financiados
por la Donaci6n. Los fondos bajo el
Convenio pueden ser utilizados para financiar
los costos para la obtenci6n de dichos bienes
excedentes.
ARTICULO
D.
Desembolsos
SECCION
D.l.
Desembolsos para Costos en
Moneda Extranjera
(a) Despues de haber cumplido con las
condiciones previas,
si
las hubieran, el
Donatario podra obtener desembolsos de
fondos del Convenio para costos en moneda
extranjera de bienes o servicios requeridos
para el Convenio de conformidad con los

issued on terms and conditions consistent with
sound commercial practice and will insure the
full value

received by the Grantee under such insurance
will be used to replace or repair any material
damage or any loss
of
the goods insured or
will be used to reimburse the Grantee for the
replacement or repair
of
such goods. Any
such replacements will be
of
source and origin
of
countries listed in USAID Geographic
Code 935 as in effect at the time
of
replacement, and, except as the Parties may
agree in writing, will be otherwise subject to
the provisions
of
the Agreement.
SECTION C.8. U.S. Government-Owned
Excess Property. The Grantee agrees that,
wherever practicable, United States
Government-owned excess personal property,
in lieu
of
new items financed under the Grant,
should be utilized. Funds under the
Agreement may be used to finance the costs
of
obtaining such property.
ARTICLE
D.
Disbursements
SECTION
D.l.
Disbursement for Foreign
Exchange Costs
(a) After satisfaction
of
conditions precedent,
if
any, the Grantee may obtain disbursements
of
funds under the Agreement for the Foreign
Exchange Costs
of
goods or services required
for the Agreement in accordance with its
terms, by such
of
the following methods as

Convenio, a menos que
el
Donatario
de
instrucciones por anticipado a USAID
de
lo
contrario. Otros gastos que las Partes puedan
acordar pueden tambien ser financiados bajo
el
Convenio.
SECCION D.2. Desembolsos para los Costos
en Pesos Colombianos
(a) Despues
de
haber cumplido con las
condiciones previas, si las hubieran, el

SECCION D.3.
Desembolso. Otras F ormas
de

(1) by submitting to USAID, with necessary
supporting documentation as prescribed in
Implementation Letters, (A) requests for
reimbursement for such goods or services, or,
(B)
requests for USAID to procure
commodities or services in Grantee's behalf
for the Agreement; or,
(2) by requesting USAID to issue Letters
of
Commitment for specified amounts directly to
one or more contractors or suppliers,
committing USAID to pay such contractors or
suppliers for such goods or services.
(b) Banking charges incurred by the Grantee
in connection with Letters
of
Commitment
will
be
financed under the Agreement unless
the Grantee instructs USAID to the contrary.
Such other charges as the Parties may agree to
may also
be
financed under the Agreement.
SECTION D.2. Disbursement for Local
Currency Costs
(a) After satisfaction
of
conditions precedent,
if
any, the Grantee may obtain disbursements
of
funds under the Agreement for Local
Currency Costs required for the Agreement in
accordance with the terms
of
this Agreement,
by submitting to USAID, with necessary
supporting documentation as prescribed in
Implementation Letters, requests to finance
such costs.
(b) The Colombian Pesos needed for such
disbursements may be purchased by USAID
with U.S. Dollars. The U.S. Dollar equivalent
of
the local currency made available hereunder
will
be
the amount
of
U.S. Dollars required by
USAID to obtain the local currency.
SECTION D.3.
Disbursement. Other Forms
of
Disbursements may also be made through

introducidos a Colombia por USAID o
cualquier entidad publica o privada con el

los arreglos que sean necesarios a fin de que
tales fondos puedan ser convertidos a Pesos
colombianos a la tasa mas alta de cambio que,
al tiempo de su conversion, no sea ilegal en el
pais del Donatario para ninguna persona por
ningtin motivo.
ARTICULO E. Terminacion; Recursos.
SECCION
E.
I. Suspension y Terminacion.
(a) Cualesquiera de las Partes puede terminar
este Convenio dando aviso por escrito con 30
dias de anticipacion a la otra Parte. USAID
puede tambien terminar este Convenio en
parte dando aviso por escrito
al
Donatario con
30 dias de anticipacion, y suspender este
Convenio en su totalidad o en parte dando
aviso al Donatario por escrito. Ademas,
USAID puede terminar este Convenio en su
totalidad o en parte, dando aviso por escrito
al
Donatario, si (i) Donatario no cumple con
cualquiera de las estipulaciones de este
Convenio, (ii) ocurre un hecho por el cual
USAID determina que el mismo hace
improbable que el Objetivo o Resultados del
Convenio o del programa de ayuda puedan
ser logrados o que el Donatario pueda
cumplir con sus obligaciones bajo este
Convenio, o (iii) cualquier desembolso o uso
de fondos de la manera aqui contemplada
estuviera en violacion de la legislacion que
regula el programa de la USAID ahora o de
aqui en adelante en vigencia.
(b) Excepto el pago que las Partes de ben
efectuar, y
al
cual estan comprometidas,
mediante compromises no cancelables con
terceras partes previo a tal suspension o
terminacion, la suspension o terminacion de
este Convenio o parte del mismo suspendera
(durante el periodo de la suspension) o
terminara, segtin sea aplicable, cualquier
obligacion de las Partes de proporcionar
recursos financieros u otros al Convenio, o la
parte suspendida o terminada del Convenio,

in writing.
SECTION D.4. Rate
of
Exchange.
If
funds provided under the Agreement are
introduced into Colombia by USAID or any
public or private entity for purposes
of
carrying out obligations
of
USAID hereunder,
the Grantee will make such arrangements as
may be necessary so that such funds may be
converted into local currency at the highest
rate
of
exchange which, at the time the
conversion is made, is not unlawful in the
country
of
the Grantee to any person for any
purpose.
ARTICLE E. Termination; Remedies.
SECTION
E.l.
Suspension and Termination.
(a) Either Party may terminate this Agreement
in its entirety by giving the other Party 30 day
written notice. USAID also may terminate
this Agreement in part by giving the Grantee
30 day written notice, and suspend this
Agreement in whole or in part upon giving the
Grantee written notice. In addition, USAID
may terminate this Agreement in whole or in
part, upon giving the Grantee written notice,
if
(i) the Grantee fails to comply with any
provision
of
this Agreement, (ii) an event
occurs that USAID determines makes it
improbable that the Objective or Results
of
the
Agreement or the assistance program will be
attained or that the Grantee will be able to
perform its obligations under this Agreement,
or (iii) any disbursement or use
of
funds in the
manner herein contemplated would be in
violation
of
the legislation governing USAID
whether now or hereafter in effect.
(b) Except for payment which the Parties are
committed to make pursuant to noncancellable
commitments entered into with third parties
prior to such suspension or termination,
suspension or termination
of
this entire
Agreement or part thereof will suspend (for
the period
of
the suspension) or terminate, as
applicable, any obligation
of
the Parties to
provide financial or other resources to the
Agreement, or to the suspended or terminated
portion
of
the Agreement, as applicable. Any
seg(:m
sea aplicable. Cualquier porci6n

no
sea suspendida o
terminada permaneceni en plena fuerza y
vigencia.
(c)
Ademas, en
el
momento
de
la suspension
total o parcial o la terminaci6n de este

SECCION E.2. Reembolso.
(a)
En

caso
de
cualquier desembolso
que
no
este sustentado por documentaci6n valida
de acuerdo con este Convenio, o
el
cual
no
fuera hecho o utilizado
de
acuerdo con este
Convenio, o que cubriera bienes o servicios
no
utilizados
de
acuerdo con este Convenio,
USAID,
no
obstante la disponibilidad o
ejercicio
de
cualquier otro recurso bajo este
Convenio, puede solicitar
al
Donatario
el
reembolso a USAID del monto
de
tal
desembolso en D6lares de
los
Estados Unidos
dentro
de
los sesenta (60) dias posteriores
al
recibo
de
una solicitud para tal efecto.
(b)
Si
el
Donatario dejara de cumplir con
cualquiera
de
sus obligaciones bajo este
Convenio dando como resultado
que
los
bienes o servicios financiados bajo
el
Convenio
no
sean usados en forma efectiva
de conformidad con este Convenio, USAID
puede solicitar
al
Donatario
el
reembolso
de
todo o parte
del
monto
de
desembolsos bajo
este convenio por o en conexi6n con tales
bienes o servicios en D6lares
de
los Estados
Unidos dentro
de
los sesenta (60) dias
posteriores
al
recibo
de
una solicitud para tal
efecto.
(c)
El
derecho bajo la subsecci6n
(a)
o (b)
de
solicitar
un
reembolso de
un
desembolso
continuara,
no
obstante cualquier otra
estipulaci6n de este Convenio, por tres
(3)
afios
desde la fecha
del
ultimo desembolso
bajo este Convenio.
(d) (1) Cualquier reembolso bajo la
subsecci6n (a) o (2), o cualquier reembolso a
USAID de
un
contratista, proveedor, banco u
otra tercera parte con relaci6n a bienes o
servicios financiados bajo
el
Convenio
portion
of
this Agreement which is not
suspended or terminated shall remain
in
full
force and effect.
(c)
In
addition, upon such
full
or partial
suspension or termination, USAID
may,
at
USAID's expense, direct that title to goods
financed under the Agreement, or under the
applicable portion
of
the Agreement,
be
transferred to USAID
if
the goods are
in
a
deliverable state.
SECTION E.2. Refunds.
(a)
In the case
of
any
disbursement which
is
not supported by valid documentation
in
accordance with this Agreement or which
is
not made or used in accordance with this
Agreement, or which was for goods or
s·ervices
not used in accordance with this
Agreement, USAID, notwithstanding the
availability or exercise
of
any other remedies
under this Agreement, may require the
Grantee to refund the amount
of
such
disbursement in U.S. Dollars to USAID within
sixty (60) days after receipt
of
a request
therefor.
(b)
If
the failure
of
the Grantee to comply with
any
of
its obligations under this Agreement
results, in the ineffective use
of
goods and
services financed under the Agreement and
in
accordance with the Agreement, USAID may
require the Grantee to refund all or any part
of
the amount
of
the disbursements under this
Agreement for or
in
connection with such
goods or services in U.S. Dollars to USAID
within sixty (60) days after receipt
of
a request
therefor.
(c)
The right under subsections
(a)
or (b)
to
require a refund
of
a disbursement will
continue, notwithstanding
any
other provision
of
this Agreement, for three years
from
the
date
of
the last disbursement under this
Agreement.
(d) (1) Any refunds under subsections
(a)
or
(b), or (2)
any
refund to
US
AID
from a
contractor, supplier, bank or other third party
with respect to gooos and services financed
under the Agreement, which refund relates to

SECCION E.3. Recursos No Renunciables.
Ninguna demora en
el
ejercicio
de
cualquier
derecho o recurso proveniente
de
una Parte
con respecto a su financiacion bajo este
Convenio sera interpretada como una
renuncia a dicho derecho o recurso.
SECCION E.4. Transferencia.
El
Donatario
acuerda ceder a USAID, a su solicitud,
cualquier derecho
de
demanda que pudiera
adquirir el Donatario en relacion con, o como
resultado del cumplimiento o incumplimiento
contractual por una
de
las Partes
de
un
contrato directo con USAID, financiado total
o parcialmente con fondos proporcionados
por USAID bajo este Convenio.

SECTION F
.1.

por parte de USAID sobre si la actividad

consistente con la limitacion establecida, el
Beneficiario debera notificar a la USAID y
proveer una descripcion detallada
de
la
actividad propuesta.
El
Beneficiario
no
debe
iniciar
Ia
actividad basta tanto
no
se
le
sea
an
unreasonable price for or erroneous
invoicing
of
goods or services, or
to
goods
that did not conform to specifications, or
to
services that were inadequate, will (A) be
made available first for the Agreement,
to
the
extent justified, and (B) the remainder,
if
any,
will
be
applied to reduce the amount
of
the
Grant.
(e) Any interest or other earnings on funds
disbursed by USAID to the Grantee under this
Agreement prior to the authorized use
of
such
funds for the Agreement will be returned to
USAID in U.S. Dollars by the Grantee unless
USAID otherwise agrees in writing.
SECTION E.3. Nonwaiver
of
Remedies. No
delay in exercising any right or remedy
accruing
to
a Party in connection with its
financing under this Agreement will be
construed as a waiver
of
such right or remedy.
SECTION E.4. Assignment. The Grantee
agrees, upon request, to execute
an
assignment
to
USAID
of
any cause
of
action which may
accrue to the Grantee in connection with or
arising out
of
the contractual performance or
breach
of
performance by a Party to a direct
U.S. Dollar contract which USAID financed
in whole or in part out
of
funds granted by
USAID under this Agreement.
ARTICLE
F.
Miscellaneous
SECTION F.l. Investment Promotion
(a)
Except as specifically set forth
in
the
Agreement or otherwise authorized by USAID
in writing,
no
funds or other support provided
hereunder may be used for any activity that
involves investment promotion in a foreign
country.
(b) In the event the Grantee is requested or
wishes to provide assistance in the above area
or requires clarification from USAID as to
whether the activity would be consistent with
the limitation set forth above, the Grantee
must notify USAID and provide a detailed
description
of
the proposed activity. The
Grantee must not proceed with the activity
until advised by USAID that it may
do
so.

planificaci6n familiar voluntaria,

que

de

Convenio, o bienes o
servicios financiados por tales fondos, seria
usado para:
(a) la realizaci6n
de
abortos como
un
metodo
de
planificaci6n familiar 0 para
motivar o forzar cualquier persona a realizar
abortos;
(b)
La
realizaci6n
de
esterilizaciones
involuntarias como metodo de planificaci6n
familiar o forzar o proveer cualquier
incentivo financiero para que alguna persona
se
someta a esterilizaciones; o
(c)
Cualquier investigaci6n biomedica
que
se
relacione, totalmente o en parte, a
metodos de, 0 la realizaci6n de, abortos 0
esterilizaciones involuntarias como metodo

completamente

requerimientos de esta
secci6n.

(a)
USAID
se
reserva
el
derecho a terminar
este Convenio o tomar otras medidas
apropiadas

se encuentra que

Beneficiario
o un individuo clave del Beneficiario ha sido

with applicable United States policy and
statutory requirements relating to voluntary
family planning projects, and that none
of
the
USAID funds provided under this Agreement, or
goods or services financed by such funds, may be
used
for:
(a)
the performance
of
abortion
as
a method
of
family planning or to motivate or coerce any
person to practice abortions;
(b) the performance
of
involuntary sterilizations
as
a method
of
family planning or to coerce or
provide any financial incentive to any person to
undergo sterilizations; or
(c) any biomedical research which relates, in
whole or in part, to methods of, or the
performance of, abortions or involuntary
sterilizations
as
a method family planning.
(d)
US
AID will issue implementation letters that
more fully describe the requirements
of
this
section.
Section F
.3.
Prohibition on Assistance to Drug
Traffickers.
(a) USAID reserves the right to terminate this
Agreement or take other appropriate measures
if
the Grantee or a key individual
of
the Grantee
is
found to have been convicted
of
a narcotics
offense or to have been engaged in drug
trafficking as defined in 22 CFR Part

Apropiaciones para Operaciones
Extranjeras, Financiaci6n a las Exportaciones,
y Programas Relacionados, para cualquier
afio
fiscal del Gobierno de los EEUU despues
de
afio
fiscal 1999 no podran ser usados para
financiar viajes, via.ticos, gastos de hotel,
comidas o gastos
de
conferencias para
ningU.n
miembro del Gobierno de Colombia u otra
delegaci6n
de
un gobierno extranjero a una
conferencia internacional patrocinada por una
organizaci6n publica internacional. Esta
restricci6n seria descrita en mas detalle por
USAID
en
Cartas
de
Implementaci6n.
SECTION F.4. Workers Rights
(a) Except
as

Government Delegations to International
Conferences.
Except as USAID may otherwise agree in
writing, funds obligated under this Agreement
which are provided by
US
AID from the Foreign
Operations, Export Financing, and Related
Programs Appropriations Act for any U.S.
Government fiscal year after fiscal year 1999
may not be used to finance the travel, per diem,
hotel expenses, meals, conference fees or other
conference costs for any member
of
a foreign
government's delegation to an international
conference sponsored by a public international
organization. This restriction may be further
described by USAID in Implementation Letters.
