Review

is to present factual accounts of actual

governance situations. Because the theoretical

underpinnings of the subject are still in the

process of evolving, it is important to have

objective, accurate accounts of real situations

to form the basis for discussion. Practicing

directors and other professionals

in

this field

should find this section useful in highlighting

current governance problems around the

world, suggesting possible solutions; whilst

scholars and researchers might use the

material to gain insights into areas worthy of

further study and as inputs into teaching.

The cases will cover all types of company

(including public, private, subsidiary, family,

and not-for-profit) incorporated and operat-

ing anywhere in the world, and introducing

problems of governance power, board mem-

bership and effectiveness, regulatory matters,

indeed any of the multitude of governance

issues.

In this issue we include a case on the

governance of the Maxwell companies,

which has raised some fundamental ques-

tions about the viability of self-regulation of

both the corporate and financial sectors in

Britain. There is also a shorter note on the

activities of the International Organisation of

Securities Commissions. In the next issue we

hope to include a case on the governance of

the London insurance market in which the

Council of Lloyds has been under serious

attack.
